Calla AI — Terms of Service
1. The Service
Calla AI provides an AI-powered receptionist service for handling inbound calls, messages, appointment scheduling, and related automation. Features may vary by plan and may be updated, improved, modified, or discontinued at any time.
2. Eligibility and Account Responsibilities
Users must be at least 18 years old and authorized to bind their organization. You are responsible for:
- Maintaining accurate account details;
- Securing login credentials;
- Configuring call routing, recording preferences, scripts, schedules, and integrations; and
- Ensuring lawful use of the Service.
3. Data Use and Access
You authorize Calla AI to access and process data needed to deliver the Service, including data from Practice Management Systems (PMS), calendars, telephony tools, and other platforms you connect. All data is handled as described in the Privacy Policy and, where applicable, any Business Associate Agreement (BAA).
4. HIPAA
If you are a Covered Entity or Business Associate under HIPAA, a separate BAA governs our handling of Protected Health Information (PHI). When conflicts arise between these Terms and the BAA, the BAA controls with respect to PHI.
5. Customer Responsibilities
You are solely responsible for:
- Informing callers and obtaining all legally required call-recording consent;
- Obtaining and documenting TCPA/CTIA consent for automated text messages;
- Complying with all applicable federal, state, and local laws regarding communications and data;
- Ensuring the Service is not relied upon for emergencies or medical/clinical advice; and
- Ensuring that your scripts and instructions do not request or provide clinical guidance.
6. Acceptable Use
You agree not to:
- Use the Service to violate any law or third-party right;
- Send spam, abusive messages, or fraudulent communications;
- Upload malware, disrupt the Service, or attempt to bypass security or technical protections;
- Reverse engineer, decompile, or attempt to derive source code from the Service; or
- Use the Service for clinical decision-making or emergency response.
7. Integrations and Third-Party Services
The Service may integrate with third-party systems such as PMS platforms, telephony providers, or calendars. Calla AI is not liable for:
- Outages, delays, or failures caused by third parties;
- Data loss or inaccuracies originating from third-party systems;
- API changes, pricing changes, or policy updates by third-party vendors; or
- Failed or delayed syncing with any connected system.
8. Fees, Billing, Renewals, and Cancellation
8.1 Billing Authorization
By subscribing, you authorize Calla AI to automatically charge your designated payment method for all fees, taxes, and applicable charges. All fees are billed in advance on a recurring basis.
8.2 Auto-Renewal
All subscriptions renew automatically at the end of each billing period unless canceled before the next billing date.
8.3 Pricing Changes
Calla AI may modify pricing at any time. Changes take effect at the start of the next billing cycle and do not affect amounts already paid.
8.4 Monthly Plans (Cancel Anytime – No Refunds)
For monthly subscriptions:
- You may cancel at any time.
- Cancellation stops future charges.

Upon cancellation, you may choose either:
- Immediate termination of Service access, or
- Continuation of access through the end of the paid billing period.
In all cases, no refunds or credits are issued for the current billing period. Partial-month refunds or prorated credits are not provided under any circumstances.
8.5 Annual Plans (Paid Upfront – Strictly Non-Refundable)
For annual subscriptions:
- Annual fees are billed in full upfront.
- Annual fees are strictly non-refundable, regardless of cancellation date or usage.
- Upon cancellation, Service continues through the paid annual term unless you request immediate termination.
- Downgrades or changes take effect only at renewal.
8.6 Non-Payment & Failed Charges
If payment fails, Calla AI may suspend or terminate access to the Service. You remain responsible for all unpaid amounts. We may reattempt charges using the same payment method.
8.7 Chargebacks
Chargebacks for authorized subscription charges constitute a breach of these Terms. Calla AI may dispute chargebacks using payment records and your acceptance of these Terms as proof of authorization.
8.8 Taxes and Fees
Applicable taxes, regulatory fees, and payment processor charges may be added to subscription fees.
9. Ownership and License
Calla AI retains all rights to the platform, models, software, and documentation. You own your scripts, content, and data. You are granted a limited, non-exclusive, non-transferable license to use the Service while your subscription is active.
10. AI Limitations / No Medical Advice
You acknowledge that AI outputs may contain errors, delays, or inaccuracies. The Service does not provide clinical or medical advice and must not be used for emergencies. You are responsible for supervising and reviewing outputs as appropriate.
11. Confidentiality and Security
Both parties agree to protect each other’s Confidential Information. Calla AI maintains administrative, technical, and physical safeguards appropriate to the data processed.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CALLA AI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; AND
- CALLA AI’S TOTAL LIABILITY IS LIMITED TO THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify and defend Calla AI against claims arising from:
- Your scripts, instructions, or content;
- Failure to obtain legally required consent for recording or messaging; or
- Any misuse or illegal use of the Service.
Calla AI will defend you against third-party intellectual property claims relating to the unmodified Service, subject to the limitations set forth in these Terms.
15. Termination
Either party may terminate for uncured material breach. Calla AI may suspend access due to security concerns or non-payment. Sections concerning fees, confidentiality, intellectual property, and limitations of liability survive termination.
16. Dispute Resolution
All disputes shall be resolved by binding individual arbitration in California, to the fullest extent permitted by law. Class actions and jury trials are waived to the maximum extent permitted.
17. Changes to Terms
Calla AI may update these Terms at any time by posting a revised effective date. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
